Welcome to GoRefer.io. These Terms of Service ("Terms") govern your access to and use of the GoRefer.io software-as-a-service platform ("Service") provided by GoRefer.io ("Company," "we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICE. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility and Account Registration

1.1 Business Use Only

Our Service is intended for use by businesses, specifically tax preparation firms, service bureaus, EROs (Electronic Return Originators), and independent tax professionals. By using our Service, you represent that you are acting on behalf of a business entity and have the authority to bind that entity to these Terms.

1.2 Account Registration

To access our Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

1.3 Account Administrators

The person who creates the account is designated as the Account Administrator and has full control over the account, including the ability to add users, configure settings, and manage billing.

2. Service Description

GoRefer.io provides a cloud-based platform for:

  • Referral tracking and management
  • Commission calculation and tracking
  • Automated commission payouts to preparers
  • Client and preparer management
  • Gamification and rewards programs
  • Analytics and reporting
  • AI-powered assistance (Gio)

3. Subscription Plans and Pricing

3.1 Plans

We offer various subscription plans with different features and pricing. Current plans and pricing are available at gorefer.io/pricing. We reserve the right to modify pricing with 30 days' notice.

3.2 Free Trial

We offer a 14-day free trial for new accounts. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

3.3 Billing

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through Stripe. You authorize us to charge your payment method for all applicable fees.

3.4 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion. Annual subscriptions cancelled mid-term are not eligible for prorated refunds.

4. Commission Payouts

4.1 Payout Processing

Our Service facilitates commission payouts to your preparers. You are responsible for:

  • Configuring accurate commission structures and rates
  • Ensuring preparer bank account information is accurate
  • Maintaining sufficient funds for payouts
  • Complying with all applicable tax and employment laws

4.2 Bank Account Verification

We use Stripe Financial Connections to verify bank account ownership before processing payouts. This verification helps prevent fraud and ensures funds are sent to the correct accounts.

4.3 Your Responsibility

You are solely responsible for the accuracy of commission calculations and the legal relationship with your preparers. GoRefer.io is a software tool and does not provide legal, tax, or employment advice.

5. Acceptable Use

You agree NOT to use our Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for fraudulent purposes
  • Harvest or collect user information without consent
  • Send unsolicited communications (spam)
  • Impersonate another person or entity
  • Use automated means to access the Service without permission

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, content, features, and functionality, is owned by GoRefer.io and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

6.2 Your Content

You retain ownership of all data and content you upload to the Service ("Your Content"). You grant us a limited license to use, store, and process Your Content solely to provide the Service to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback.

7. Data Protection

We are committed to protecting your data. Our data practices are described in our Privacy Policy. By using our Service, you agree to our Privacy Policy.

8. Service Availability

8.1 Uptime

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 Modifications

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent activity
  • Pose a security risk to the Service

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days, after which it will be permanently deleted unless required by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any errors in commission calculations made by you using our tools.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOREFER.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for all claims arising from the Service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless GoRefer.io and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content
  • Disputes between you and your preparers or clients

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and GoRefer.io regarding the Service.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.
